Welcome to SkillBoss. These Terms of Service ("Terms") govern your use of the SkillBoss platform, including our website, API, Skills marketplace, and all related services (collectively, the "Service"). By accessing or using SkillBoss, you agree to be bound by these Terms.
1. Service Provider
SkillBoss is operated by HeyMall, Inc. (operating as SkillBoss), a Delaware corporation ("we," "us," or "our"). All references to the company include HeyMall, Inc. and its affiliates.
2. Description of Service
SkillBoss is an API aggregator platform where users may access third-party APIs and AI models through a unified interface. Our Service includes:
- API Gateway: Access to 600+ paid APIs including AI models (OpenAI, Anthropic, Google, DeepSeek, etc.), web scraping, image/video generation, email services, and more
- Skills Marketplace: Community-created automation scripts ("Skills") that extend AI coding assistants
- Skill Studio: Tools to create, publish, and monetize your own Skills
- MCP Server: Model Context Protocol integration for AI assistants
- Unified Billing: Single wallet balance for all API usage
3. Acceptance of Terms
By creating an account, using our API, installing Skills, or accessing any part of our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any applicable third-party API terms. If you do not agree, you must not use the Service.
4. User Accounts and Eligibility
4.1 Account Creation: You must create an account to use SkillBoss. You agree to provide accurate, current, and complete information during registration.
4.2 Age Requirement: You must be at least 18 years old to use SkillBoss.
4.3 Account Security: You are responsible for maintaining the confidentiality of your API keys and account credentials. You are liable for all activities under your account.
4.4 One Account Per User: Each user may maintain only one account. Creating multiple accounts to abuse free credits or promotions is prohibited.
5. Payments, Credits, and Billing
5.1 Wallet Balance: SkillBoss operates on a prepaid wallet model. You add funds to your wallet, and usage is deducted in real-time. New accounts receive $2 free balance.
5.2 Minimum/Maximum Top-up: Wallet top-ups range from $5 to $1,000 per transaction.
5.3 Pricing: API pricing is displayed on our pricing page and within the Service. Prices may change; we will notify you of significant changes.
5.4 Auto-Refill: If enabled, your wallet will be automatically charged when balance falls below your configured threshold.
5.5 Refunds: Refunds for unused balance may be requested within 24 hours of purchase. After 24 hours, wallet balances are non-refundable except as required by law.
5.6 Balance Expiration: Wallet balances expire 365 days after the last account activity.
5.7 Skill Creator Payouts: If you create and monetize Skills, payouts are subject to our Skill Creator Agreement and require Stripe Connect verification.
6. Acceptable Use Policy
You agree NOT to use SkillBoss to:
- Violate any applicable laws, regulations, or third-party rights
- Violate the terms of any underlying AI model or third-party API
- Generate, distribute, or store illegal, harmful, abusive, or offensive content
- Engage in "red teaming," prompt injection, jailbreaking, or attempts to bypass AI safety measures without prior written approval
- Scrape, copy, or harvest data from the Service or underlying APIs
- Resell API access or develop competing services using our infrastructure
- Circumvent usage limits, rate limits, billing systems, or technical restrictions
- Use the Service for spam, phishing, or fraudulent activities
- Engage in any activity that could harm minors or exploit vulnerable individuals
- Attempt to gain unauthorized access to our systems or other users' accounts
Violation of this policy may result in immediate account suspension and forfeiture of remaining balance.
7. Third-Party APIs and AI Models
7.1 Third-Party Terms: SkillBoss provides access to third-party APIs and AI models (including OpenAI, Anthropic, Google, ElevenLabs, Replicate, and others). Your use of these services is subject to their respective terms and acceptable use policies.
7.2 Model Training by Third Parties: Some AI models may store or train on your inputs for improving their services. Check each provider's data policy. SkillBoss does not control third-party data practices.
7.3 Availability: Third-party services may become unavailable, change pricing, or modify features without notice. We are not liable for third-party service disruptions.
8. Data Usage and Privacy
8.1 Logging: By default, we log API requests for debugging and abuse prevention. You can disable request logging in your account settings.
8.2 Data Collection: We collect usage data, prompts (if logging is enabled), and technical metrics to operate and improve the Service.
8.3 Confidential Information: Do not input confidential, proprietary, or sensitive information unless you understand the data handling practices of the underlying APIs.
8.4 Analytics: We use aggregated, anonymized data for analytics and service improvement.
9. Skills Marketplace
9.1 Community Skills: Skills are created by community members and third parties. We do not guarantee the quality, safety, or functionality of third-party Skills.
9.2 Skill Review: While we review Skills for basic compliance, you are responsible for evaluating Skills before use.
9.3 Skill Creator Responsibilities: If you publish Skills, you are responsible for ensuring they comply with these Terms, do not contain malicious code, and do not infringe third-party rights.
9.4 Skill Removal: We may remove any Skill that violates these Terms or poses security risks, without notice.
10. Intellectual Property
10.1 SkillBoss IP: All rights, title, and interest in SkillBoss, including our software, technology, trademarks, and content, are owned by HeyMall, Inc.
10.2 Your Content: You retain ownership of content you input into SkillBoss. By using the Service, you grant us a license to process your inputs to provide the Service.
10.3 Generated Content: AI-generated content may not be unique and could be similar to content generated for other users. You are responsible for reviewing and validating all outputs.
10.4 Skill IP: If you create Skills, you retain ownership but grant us a license to host, distribute, and display them through the Service.
11. Disclaimers
11.1 "AS IS" Basis: SkillBoss and all third-party APIs are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
11.2 No Guarantee: We do not guarantee uptime, accuracy, or fitness for any particular purpose.
11.3 AI Limitations: AI-generated content may contain errors, inaccuracies, biases, or inappropriate material. You are responsible for reviewing all outputs before use.
11.4 No Liability for Outputs: We take no responsibility for any actions you take based on AI-generated outputs.
12. Limitation of Liability
To the maximum extent permitted by law, HeyMall, Inc. and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.
Our aggregate liability for any claims arising from these Terms or your use of the Service is limited to the greater of: (A) the amount you paid us in the 12 months preceding the claim, or (B) $100 USD.
13. Indemnification
You agree to indemnify, defend, and hold harmless HeyMall, Inc. and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from: your use of SkillBoss, your violation of these Terms, your violation of any third-party API terms, or your infringement of any rights of third parties.
14. Termination
14.1 By You: You may close your account at any time through your account settings or by contacting support.
14.2 By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a risk to our Service or other users.
14.3 Effect of Termination: Upon termination, any remaining wallet balance may be forfeited. You will lose access to the Service, your API keys will be revoked, and your published Skills may be removed.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 7 days before they take effect. Continued use of SkillBoss after changes constitutes acceptance of the updated Terms.
16. Governing Law and Dispute Resolution
16.1 Governing Law: These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
16.2 Arbitration: Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration will be conducted in Delaware.
16.3 Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class arbitrations.
16.4 Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or to protect confidential information.
17. Miscellaneous
17.1 Entire Agreement: These Terms, together with our Privacy Policy and any applicable Skill Creator Agreement, constitute the entire agreement between you and HeyMall, Inc.
17.2 Severability: If any provision is found invalid, the remaining provisions remain in effect.
17.3 No Waiver: Our failure to enforce any right or provision does not constitute a waiver.
17.4 Assignment: You may not assign these Terms. We may assign our rights and obligations to any affiliate or successor.
17.5 Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
